Independent Contractor Agreement
Version 2026-09-21
Between Pipi Reviews LLC, a Florida limited liability company ("PipiReviews", "we"), and you, the contractor.
1. What you do
You introduce local businesses to the PipiReviews service, set the equipment up where they agree to subscribe, and support those businesses as you see fit.
You decide how. Which businesses to approach, in what order, at what hours, using what methods, and how much time to give it. We do not set your schedule, assign you a territory, require you to attend anything, or direct how you sell.
2. You are not an employee
You are an independent contractor. Not an employee, partner, agent, or joint venturer.
That means, plainly:
- No wage, no salary, no minimum. You are paid commission on what you bring in
- No employment benefits — no health insurance, no paid leave, no workers' compensation, no unemployment insurance
- You pay your own taxes, including self-employment tax. We withhold nothing
- You may work for anyone else, including in the same field, at the same time
- You provide your own equipment — your phone, your transport, your costs
- You may decline any opportunity and take time off without asking
You may not hold yourself out as an employee of PipiReviews, sign anything on our behalf, or make commitments to a business that we have not agreed to.
3. How you are paid
Commission on subscription revenue from the businesses you sign up.
- Your rate is recorded in the app and shown on your Payments screen
- Commission accrues when a shop's invoice is actually paid, not when they sign up — a subscription that never pays never earns
- If a payment is refunded or charged back, the commission for it is reversed
- Commission continues for as long as that business keeps paying, subject to section 4
- You request payment; we pay approved requests promptly. Every request, approval and payment is recorded and visible to you
There is no guaranteed amount and no draw against future commission.
Payments are made through Stripe. Payment services for contractors working with PipiReviews are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By signing this agreement, or by continuing to work with PipiReviews, you agree to be bound by those terms as Stripe may change them from time to time. So that we can pay you through Stripe, you agree to give us accurate and complete information about yourself, and you authorize us to share it, and the details of payments made to you, with Stripe. Stripe processes that information under its Privacy Policy.
4. If this ends
Either of us may end this at any time, with or without reason, on written notice.
Commission already earned is still owed and will be paid.
Commission on future payments from businesses you introduced ceases when this agreement ends, unless we agree otherwise in writing.
5. Taxes and your information
You are responsible for all federal, state and local taxes on what you earn, and for any business license or registration your work requires.
Before your first payment you must give us your correct taxpayer identification number (SSN, ITIN or EIN). You enter it with Stripe, inside Stripe's own onboarding, and PipiReviews does not see or store it. If Stripe's form is not available to you, you may give us a signed IRS Form W-9 instead, which we keep securely for as long as tax law requires.
Without it, the IRS requires 24% backup withholding on payments to you. We do not pay until it is provided, so that you are paid in full.
We will issue a Form 1099-NEC when what we pay you in a calendar year meets the IRS threshold. It is delivered through Stripe: electronically if you agree to that when Stripe asks, and by mail otherwise.
6. Equipment we lend you
Stands and stickers we send you remain our property. You hold them to fit at businesses.
- Keep a reasonable account of what you hold — the app tracks it
- Report loss, theft or damage through the app
- A write-off is a request, not a decision. If you can still tap a unit, that proves you have it and it is settled immediately. If you cannot, an administrator reviews it
- Return anything you hold when this agreement ends
This is not distrust; it is how any business tracks stock it has issued to someone.
7. Confidentiality
Business lists, pricing, and commercial arrangements you learn through this work are confidential. Do not use them for anything except this work, and do not take them with you if you leave. This survives termination.
Nothing here prevents you from working in this industry, for competitors, or using general skill and knowledge. This is not a non-compete.
8. How you conduct yourself
- Represent the service honestly. Do not promise reviews, ratings, rankings, or business results — nobody can deliver those
- Never suggest that a business can suppress or filter negative reviews. It is not what this does, and it is against Google's policies
- Do not offer anything in exchange for a review
- Obey the law, and respect the premises you visit
We may end this agreement immediately for a breach of this section.
9. Liability
Each of us is responsible for our own acts. You will indemnify us for claims arising from your own conduct, and we will do the same for ours.
Our total liability to you is limited to commission properly owed.
10. General
Whole agreement. This is all of it. Changes must be written and signed.
Assignment. You may not assign this. We may, to a successor of the business.
Law. Florida. Venue in Miami-Dade County.
Severability. If a part is unenforceable, the rest survives.
Signing electronically. You agree to sign this agreement electronically. The name you type is your signature, and we record it with the date, the version of this text, and the device and network it was signed from. The agreement stays readable in the app and at pipireviews.com/contractor-agreement, and we will email you a copy whenever you ask.
Notices. We send notices to the email address on your account or in the app. You can reach us at support@pipireviews.com.
Operators sign this in the Pipi Reviews app before their first visit. The signature recorded there names this version and carries a fingerprint of this exact text.
