12‑Month Service Agreement
Effective 16 October 2026
This 12-Month Service Agreement (the "Agreement") is made between Pipi Reviews LLC, a Florida limited liability company ("Company"), and the individual named as Customer on the signature page of this Agreement ("Customer").
1. Definitions
"Shop" means the shop identified by its Shop Code in the Parties section of this Agreement, which at the date of signing operates under the business name and at the address stated there. A change of that business name or address does not change the Shop. "Shop Code" means the six-character code Company assigns to the Shop.
"Order Summary" means the summary of the plan, the number of Devices, the Monthly Fee, any free period, any Installation Fee and the dates of the Initial Term, presented to Customer before the first payment and kept in the dashboard afterwards. When Customer adds Devices, the Order Summary presented then, with the new Monthly Fee, replaces the earlier one for the rest of this Agreement; the Initial Term does not change.
"Devices" means the stands, stickers and other tap or scan devices used for the Service at the Shop, each of which is a Supplied Device or a Purchased Device. "Supplied Devices" means Devices that Company, or an independent contractor acting for Company, places at the Shop. "Purchased Devices" means Devices bought, from Company or from a reseller such as Amazon, and set up for the Shop at pipireviews.com/setup with the set-up key packed with them, and any replacement Company provides for one of them. "Service" means the use of the Supplied Devices, the page a person reaches when they tap or scan any Device, the online dashboard for the Shop, and support.
"Effective Date" means the start date stated in the Order Summary. "Initial Term" means the period of twelve (12) months beginning on the Effective Date.
"Monthly Fee" means the amount stated in the Order Summary. "Installation Fee" means the one-time amount stated in the Order Summary for installing Supplied Devices. No Installation Fee applies to Purchased Devices. "Replacement Cost" means the amount Company sets for replacing a type of Device, shown to Customer before Customer agrees to a replacement it applies to.
2. Parties and capacity
Customer enters into this Agreement as an individual, in Customer's own name and capacity. Customer is the party to this Agreement whether Customer owns, operates or works at the Shop.
Customer's obligations under this Agreement, including the obligation to pay the Monthly Fee for the Initial Term, are not affected by any change in the ownership, operation, name or legal form of the Shop, or by the Shop ceasing to trade, closing, or becoming insolvent.
3. The Service
Company will provide the Service at the Shop for as long as this Agreement is in effect.
Company, or an independent contractor acting for Company, will install the Supplied Devices at the Shop and link them to the Google review page of the Shop. Customer sets up Purchased Devices at pipireviews.com/setup, which links them to the same page.
When a person taps or scans a Device, the Service directs that person to the Google review page of the Shop. Every tap and scan is directed to the same public page.
The dashboard shows the activity of the Devices and the fees paid, and allows Customer to download that activity.
Support is available at support@pipireviews.com and through the Help section of the dashboard.
The Service is hosted by Cloudflare, Inc. Company does not warrant availability greater than the availability Cloudflare provides to Company. Where an interruption caused by Company materially prevents the Devices from working, Company will credit the Monthly Fee for the affected period on request.
4. Term and cancellation
This Agreement begins on the Effective Date and continues for the Initial Term. Any free period stated in the Order Summary is part of the Initial Term.
After the Initial Term, this Agreement continues from month to month until it is cancelled under this Article.
Customer may give notice of cancellation at any time. A cancellation notified during the Initial Term takes effect on the last day of the Initial Term, and the Monthly Fee remains payable until then. A cancellation notified after the Initial Term takes effect at the end of the month already paid for.
After the Initial Term, Company may cancel this Agreement by giving Customer at least thirty (30) days' written notice.
Notice of cancellation must be given in writing to support@pipireviews.com from the email address on Customer's account, or through the Help section of the dashboard. Company will confirm the effective date of the cancellation in writing.
5. Fees and payment
Customer will pay the Monthly Fee each month, in advance, for the Initial Term and for each month after it until this Agreement ends, and the Installation Fee, where the Order Summary states one, once, with the first payment.
Payments are collected by card through Stripe, Inc. on the same day of each month as the first payment. Customer authorizes Company, through Stripe, to charge the card on file for every amount due under this Agreement, including late interest.
The Monthly Fee and the Installation Fee exclude sales tax. Sales tax is added where the law requires it and shown on each receipt.
The Monthly Fee will not increase during the Initial Term unless Customer agrees to a change in the Service, such as additional Devices. After the Initial Term, Company may change the Monthly Fee by giving at least thirty (30) days' written notice, and Customer may cancel before the change takes effect.
A discount granted by Company applies only for the period Company states, after which the Monthly Fee in the Order Summary applies.
Fees are not refunded for part of a month, except where the law requires it.
Customer must notify Company of any disputed charge in writing within sixty (60) days of the charge. Company will review the charge and refund any amount charged in error.
Receipts are sent to the email address on Customer's account, and every payment and its receipt are available in the dashboard.
6. Late payment
If a payment fails, Stripe will retry it during the following fourteen (14) days and Company will notify Customer so that Customer can update the card on file.
Any amount not paid when due bears late interest at one and one-half percent (1.5%) per month (eighteen percent (18%) per year), or the highest rate permitted by law if lower, calculated as simple interest on the unpaid amount for each full month it remains unpaid.
If an amount remains unpaid fourteen (14) days after it is due, Company may suspend the Service, and the Devices stop directing to the review page until the amount is paid. The Service resumes when the overdue amount is paid.
Late or missed payment does not end this Agreement. The Monthly Fee continues to become due each month, during any suspension, until this Agreement ends under Article 4.
Company will not charge collection costs or attorney's fees. The amount owed is limited to the unpaid fees and the late interest on them.
7. Devices
Supplied Devices remain the property of Company at all times. They are lent to Customer for use at the Shop while this Agreement is in effect and are not sold or rented. Purchased Devices are not Company's property: they belong to whoever bought them, who paid for them separately, to the seller, at the seller's price. No part of the Monthly Fee or the Installation Fee is a payment for any Device.
Customer will take reasonable care of the Supplied Devices. While a Device is used for the Service, Customer will not modify, reprogram or rewrite it, or move it to any location other than the Shop.
If a Device stops working, is damaged, lost or stolen, Customer will notify Company through the Help section of the dashboard, and Company will replace it. Replacements are at no charge up to the number in any twelve (12) months that Customer's plan includes, where the plan states one, and each replacement beyond that number is charged at the Replacement Cost, to the card on file, once Customer agrees to it. Where the plan states no number, replacements are at no charge; after the Initial Term, Company may introduce a number by giving at least thirty (30) days' written notice. A replacement belongs to whoever owned the Device it replaces.
When this Agreement ends, the Devices are deactivated. Customer will allow Company, or a person acting for Company, reasonable access to the Shop to collect the Supplied Devices. Purchased Devices are not collected and stay with their owner.
If, within thirty (30) days after this Agreement ends, Customer has not allowed Company to collect the Supplied Devices, Customer will pay Company fifty dollars ($50) for each Supplied Device not collected, as liquidated damages: the parties agree that Company's loss is difficult to determine and that this amount is a reasonable estimate of it, and not a penalty. Company may charge it to the card on file. Once it is paid, Company makes no further claim to those Devices.
The programming of every Device, the protection of its memory and its link to the Service remain Company's. Owning a Purchased Device gives no right to the Service, to that link or to that protection, and when this Agreement ends Company is not required to unlock, reprogram or remove the protection from it. A Purchased Device can be used with the Service again at the Shop under a new agreement.
Customer represents that the Purchased Devices were acquired lawfully. Company gives no warranty for a Purchased Device bought from another seller; that seller's terms govern its sale. A Purchased Device sold or given to another person does not carry this Agreement or the Service with it.
8. Reviews and the Google listing
Company does not guarantee any number of reviews, any rating, or any commercial result.
Company does not filter, withhold, alter or remove reviews, and does not select who may leave one.
Customer will not offer any payment, discount or other benefit in exchange for a review, will not request reviews only from people expected to leave positive ones, and will not write, buy or procure fake reviews. These practices are prohibited by Google's policies and by the Federal Trade Commission's Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465).
Customer represents that Customer is entitled to direct people to the Google listing linked to the Devices.
9. Dashboard, data and messages
Access to the dashboard is personal to Customer's account. Anyone holding a dashboard link can see the Shop's activity, and Customer will keep it confidential. Company will replace a link on request, and the previous link stops working.
The Service counts taps and scans. It does not identify the people who tap or scan, and Company does not receive the Shop's sales data.
Company processes information about Customer and the Shop only to provide, bill for and support the Service, as described in the Privacy Policy at pipireviews.com/privacy, and does not sell it.
Text messages about Customer's account are governed by the SMS Terms at pipireviews.com/sms-terms. Customer may turn them off in the dashboard or by replying STOP.
10. Warranties and liability
Except as expressly stated in this Agreement, the Service is provided "as is", and Company disclaims all other warranties, express or implied, to the extent permitted by law.
Company's total liability under this Agreement is limited to the fees Customer paid to Company in the twelve (12) months before the event giving rise to the claim.
Company is not liable for lost profits, lost revenue, or any indirect, incidental or consequential loss.
Company is not responsible for the availability of Google's services or of the Shop's Google listing or its reviews.
Customer will indemnify Company against claims arising from the manner in which reviews are requested at the Shop or from the use of a Google listing Customer was not entitled to use.
Nothing in this Agreement limits any liability that cannot be limited by law.
11. Changes to this Agreement
During the Initial Term, Company will not change this Agreement to Customer's detriment without Customer's agreement.
After the Initial Term, Company may change this Agreement by giving at least thirty (30) days' written notice before the change takes effect. If Customer does not accept the change, Customer may cancel before it takes effect.
Each version of this Agreement is dated. The version Customer signed governs until Customer accepts a later version.
12. Electronic signature and records
Customer signs this Agreement electronically, by entering Customer's initials on the signature page and confirming the signature while signed in to Customer's account. An electronic signature has the same effect as a handwritten signature under the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Florida Uniform Electronic Transaction Act (Fla. Stat. § 668.50).
Customer may also accept this Agreement by paying the first payment after being presented with the Order Summary, by sharing the set-up code sent to Customer when the Shop is set up, by entering that code at pipireviews.com/setup, or by agreeing to an Order Summary presented when adding Devices to the Shop.
Company keeps a record of the signature, including Customer's name and initials, the account used, the date and time, and the exact text signed. The signed copy is kept in the dashboard, where Customer can read it at any time, and Company confirms the signature by email. Customer may request a paper copy at support@pipireviews.com.
13. General
Notices to Customer are sent to the email address or phone number on Customer's account. Notices to Company are sent to support@pipireviews.com.
Customer may not assign or transfer this Agreement without Company's prior written consent. If the Shop is sold or closes, Customer will notify Company; this Agreement remains Customer's until Company agrees in writing to its transfer. Company may assign this Agreement to a successor to its business.
Neither party is liable for a delay or failure caused by events beyond its reasonable control, including power or network failures, natural disasters or acts of government.
If any provision of this Agreement is held unenforceable, the remaining provisions continue in effect. A failure or delay in enforcing a provision is not a waiver of it.
This Agreement, together with the Order Summary, the Terms of Service at pipireviews.com/terms, the Privacy Policy and the SMS Terms, is the entire agreement between the parties about the Service. If they conflict, the Order Summary governs the fees, this Agreement governs everything else, and the SMS Terms govern text messages.
Articles 5, 6, 7, 10 and 12, and this Article 13, survive the end of this Agreement to the extent needed to give them effect.
This Agreement is governed by the laws of the State of Florida. Any dispute arising from it will be resolved in the state or federal courts located in Miami-Dade County, Florida.
This Agreement is made in English. Any translation is provided for convenience only, and the English text governs.
